Service Delivery
McMillan agrees to provide Finance, Auditing, Accounting, Consulting and IT Services to the client in accordance with the scope of work and project timeline agreed upon in writing. The client is responsible for providing the company with necessary access and information to perform the services.Payment Terms
The client agrees to pay the company's fees as outlined in the service agreement. Invoices will be issued on a monthly basis and are due within 30 days of receipt. The company reserves the right to suspend services if payments are overdue.Confidentiality
McMillan agrees to maintain the confidentiality of the client's confidential information and to use it only for the purpose of providing the agreed-upon services.Intellectual Property Rights
McMillan retains ownership of all intellectual property rights in the work product, including software and other deliverables. The client may use the deliverables only for the purpose for which they were provided.Liability and Warranties
McMillan warrants that its services will be performed in a professional and competent manner. The company is not responsible for any indirect, incidental, or consequential damages arising from its services.Termination
Either party may terminate this agreement at any time upon written notice. The client will pay the company for all services rendered up to the date of termination.Dispute Resolution
In the event of a dispute, the parties will first attempt to resolve the dispute through mediation. If mediation is unsuccessful, the dispute may be resolved through arbitration or by filing a lawsuit in a court of competent jurisdiction.
